| Network Governing Board |
SoftComp is governed by the Network Governing Board, which meets at least once a year and is formed by representatives of all the partners; the NGB is the highest board of SoftComp and decides on crucial topics, such as, for example, the budget.
The Network Governing Board (NGB) decides on:
- the preparation and final approval of the Annual Plan of Activities in accordance with the Joint Programme of Activities prior to the submission of the European Commission,
- budget-related matters,
- the acceptance of new partners as well as the exclusion of partners,
- the structure and restructuring of the Network Areas,
- the alteration of the Consortium Agreement, including amendments,
- the premature completion/termination of the Network or Network Areas,
- legal guidelines for co-operation agreements (on a bi- or multilateral basis betweenthe Partners) which are being binding for all Partners.
The NGB as the ultimative decision making body will work on the basis of voting rules which will outreach to the partners as much as possible but on the other hand will facilitate workable decision making.
(i) Ordinary and extraordinary meetings of the Network Governing Board shall constitute a quorum if more than fifty (50) percent of the partners are present or duly represented by proxy
(ii) Project share votes will be allotted on the basis of the number of participating scientists allocated to the different Network partners and who form the basis for calculating the EU contribution
(iii) Decisions relating to issues listed explicitly above need a majority of seventy-five (75) percent of the project share votes as well as two thirds (2/3) of all partners (double majority)
A partner may issue its veto only in the case of a decision to accept a new partner in the consortium if a substantial threat to its commercial or strategic interests is likely to exist which cannot be resolved by any other measure.
The NGB will meet at least once a year, but can be convened by the chairperson or by request of the majority of the partners or a quarter of the Network areas.
